1. Acceptance of Terms

By accessing or using the Rekyndo marketplace platform (“Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Platform. These Terms constitute a legally binding agreement between you and Rekyndo B.V. (“Rekyndo”, “we”, “us”, or “our”). By registering an account, you confirm that you have the legal authority to bind yourself or the company you represent to these Terms.

2. Description of Service

Rekyndo operates a B2B marketplace platform for industrial equipment, connecting equipment sellers, buyers, and service providers. The Platform facilitates the listing, discovery, and negotiation of industrial equipment transactions and service tenders related to decommissioning, reuse, and recycling of industrial assets. Rekyndo acts as an intermediary and is not a party to any transaction conducted between users on the Platform.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform or any part of it.

3. User Accounts

To access most features of the Platform, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information about yourself and your business
• Maintain and promptly update your account information to keep it accurate
• Keep your login credentials confidential and not share them with any third party
• Notify Rekyndo immediately of any unauthorised use of your account
• Be responsible for all activities that occur under your account

Rekyndo reserves the right to suspend or terminate accounts that contain false or misleading information, or that are used in violation of these Terms.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with our Acceptable Use Policy. You must not use the Platform in any way that violates applicable local, national, or international law or regulation, or that could harm Rekyndo, its users, or third parties.

5. Intellectual Property

The Platform and its original content, features, and functionality — including but not limited to text, graphics, logos, icons, and software — are and will remain the exclusive property of Rekyndo and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Rekyndo.

By submitting content to the Platform (such as equipment listings, images, or descriptions), you grant Rekyndo a non-exclusive, worldwide, royalty-free licence to use, reproduce, and display such content solely for the purpose of operating and promoting the Platform. You represent that you own or have the right to submit any content you provide.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Rekyndo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of, or inability to use, the Platform. This includes, without limitation, damages for loss of profits, goodwill, data, or other intangible losses, even if Rekyndo has been advised of the possibility of such damages.

Rekyndo does not guarantee the accuracy, completeness, or suitability of any equipment listings, tender information, or other content provided by users on the Platform. All transactions are conducted at your own risk.

7. Termination

Rekyndo may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms or our policies. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination — including intellectual property provisions, disclaimers, and limitations of liability — shall survive.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Amsterdam, the Netherlands.
